1. Acceptance of Terms

By accessing our website or engaging with NexGU for any product or service, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

2. About NexGU

NexGU provides products and services delivered exclusively following thorough consultations, negotiations, and mutual written agreements between NexGU and the client. We operate as an IT consulting and engineering practice serving local businesses and MSMEs.

3. Sales Process and Agreements

All NexGU products and services are sold exclusively through a structured engagement process that includes direct conversations, needs assessment, and a formal written agreement before any transaction takes place.

• No purchase or service engagement is valid without a prior written or formal agreement
• Pricing, scope of work, timelines, and deliverables are defined in the agreement
• By signing or accepting an agreement, you confirm your understanding of the service being purchased
• NexGU reserves the right to decline any engagement at its sole discretion

4. Payment Terms

• Invoices are issued as per the agreed payment schedule
• Payments are due on the date specified in the invoice unless otherwise agreed
• Late payments may result in a pause or suspension of services
• NexGU accepts payment via the methods listed in your agreement

5. Intellectual Property

All content, materials, tools, and deliverables created by NexGU remain the intellectual property of NexGU until full payment has been received, unless explicitly stated otherwise in the agreement. Upon final payment, rights are transferred as defined in the signed agreement.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of any agreement. Where required, a mutual NDA can be signed before the first call. Contact us at team@nexgu.com.

7. Limitation of Liability

To the maximum extent permitted by applicable law, NexGU shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our services. Our total liability shall not exceed the amount paid by the client for the specific service in question.

8. Termination

Either party may terminate an engagement as specified in the signed agreement. In cases of material breach, the non-breaching party may terminate immediately upon written notice. Any work completed up to the termination date may be invoiced and is payable in accordance with the agreement.

9. Governing Law

These Terms and Conditions are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.
